These Terms govern your access to and use of ProfileMD.ca.

1.Agreement to these Terms
These Terms of Service govern access to and use of:
ProfileMD.ca;
public physician and clinic profiles;
professional information and resources;
profile-management features;
professional accounts;
onboarding and support services;
subscription services;
clinic-approved external-link features; and
other services expressly identified as ProfileMD services.
Together, these are called the “Services.”
ProfileMD.ca is currently offered as a non-clinical digital service by Eduardo Jacques Medicine Professional Corporation, an Ontario medicine professional corporation.
In these Terms, “ProfileMD,” “ProfileMD.ca,” “we,” “us,” and “our” refer to the ProfileMD service and its current operator in connection with the Services.
By accessing or using the Services, you acknowledge that you have read and agree to these Terms and the ProfileMD Privacy Policy.
If you use the Services on behalf of a physician, clinic, medical group, corporation, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.
If you do not agree with these Terms, you must not use the Services.
2.Separate clinical activities
ProfileMD is a non-clinical professional-information and practice-support service.
Any medical services provided separately by a physician, clinic, or by Eduardo Jacques Medicine Professional Corporation acting in a clinical capacity, including any services associated with CoreMD Clinic, are separate from the ProfileMD Services.
Those clinical activities are governed by:
the physician-patient relationship, where one has been established;
the relevant clinic’s policies;
applicable privacy and health-care laws;
professional obligations; and
any separate patient-facing terms or notices.
Nothing in these Terms changes or limits a physician’s independent legal, ethical, or professional obligations.
3.Eligibility and authority
Public information may be viewed by members of the public.
Professional accounts, profile-management features, clinic-group services, and onboarding services may be used only by:
the physician concerned;
an authorized clinic owner;
an authorized clinic administrator;
an authorized medical-group representative; or
another person with lawful authority to act for the physician or clinic.
Professional Users must provide accurate information concerning their identity, role, and authority.
ProfileMD may require reasonable verification before creating, approving, changing, transferring, suspending, or removing a professional profile or account.
A person must be at least 18 years old to enter into a paid subscription or professional agreement with ProfileMD, unless the agreement is entered into by an authorized organization.
4.Nature of the Services
The Services may include:
physician and clinic profiles;
factual practice information;
specialty and location browsing;
practice-access information;
visit-preparation resources;
general health-education information;
physician and clinic onboarding;
profile review and verification;
profile correction and removal processes;
professional accounts;
clinic-group services;
external secure-link configuration;
workflow planning and support;
professional subscription services; and
other administrative or digital practice-support services.
ProfileMD may add, modify, suspend, or remove features from time to time.
5.ProfileMD is not a medical-care service
ProfileMD is not itself:
a medical clinic;
a hospital;
an emergency service;
an insurer;
a government agency;
a professional regulator;
an electronic medical record;
a patient portal;
a clinical referral service; or
a provider of diagnosis or treatment.
ProfileMD does not itself provide:
medical advice;
diagnosis;
treatment;
clinical assessment;
triage;
prescriptions;
prescription renewals;
medical referrals;
appointment confirmation;
interpretation of test results;
ongoing clinical monitoring;
continuity of medical care; or
emergency response.
General health information made available through ProfileMD is provided for general educational and visit-preparation purposes. It is not a substitute for medical advice from a qualified health-care professional who has assessed the individual circumstances.
6.Emergencies and urgent concerns
The Services must not be used for emergencies or urgent medical concerns.
ProfileMD’s public forms, public pages, and general email addresses are not continuously monitored and must not be relied upon for a response within any particular period.
For a medical emergency:
call 911; or
attend the nearest emergency department.
For an urgent or care-specific matter, contact the relevant clinic, physician, or appropriate health-care service directly.
7.No physician-patient relationship
Using ProfileMD alone does not create a physician-patient relationship between a user and:
ProfileMD;
Eduardo Jacques Medicine Professional Corporation;
Dr. Eduardo Jacques;
a physician appearing on the website;
a clinic appearing on the website; or
another health-care professional.
A physician-patient relationship may be established only through a separate clinical process and in accordance with the relevant physician’s or clinic’s procedures and professional obligations.
Viewing a profile, selecting a link, submitting a professional inquiry, or reading general health information does not mean that:
a physician has accepted the user as a patient;
an appointment has been booked;
information has been reviewed by clinical staff;
medical advice has been provided; or
a clinical duty has been assumed.
An existing physician-patient relationship continues to exist independently of ProfileMD and remains governed by applicable law and professional standards.
8.Physician and clinic profiles
ProfileMD profiles are intended to communicate factual professional and administrative information.
Information may be:
provided by a physician or clinic;
approved by an authorized representative;
obtained from a professional regulator;
obtained from an official clinic or institutional website; or
obtained from another public source reasonably considered reliable.
Professional information can become incomplete or outdated because:
registration status may change;
physicians may relocate;
clinic affiliations may change;
services may change;
schedules may change;
links and telephone numbers may change;
practices may stop accepting patients; or
clinic processes may be modified.
Users should independently confirm important information with the clinic and, where appropriate, consult the applicable professional regulator’s public register.
ProfileMD does not guarantee that:
every physician or clinic is listed;
every profile is complete;
every statement remains current;
a physician is accepting new patients;
an appointment is available;
a listed service is currently offered;
a clinic will respond within a particular period;
a physician is suitable for a particular individual; or
a particular clinical result will occur.
9.Meaning of verification
A profile described as “verified”, “physician-controlled”, or by similar wording means only that ProfileMD has completed one or more administrative steps described by ProfileMD.
Those steps may include:
confirmation by the physician or clinic;
review of information against a professional regulator’s public register;
confirmation of public business contact information;
confirmation of a clinic-approved external link; or
review of an authorized correction request.
Verification does not constitute:
an endorsement;
a clinical recommendation;
professional credentialing;
a competency assessment;
a clinical-quality assessment;
a guarantee of regulatory standing;
a popularity ranking;
a certification by the CPSO, CMPA, a government, or an insurer;
a promise of availability; or
a guarantee of suitability or outcome.
ProfileMD is not affiliated with, operated by, or endorsed by the College of Physicians and Surgeons of Ontario, the Canadian Medical Protective Association, the Government of Ontario, or another professional regulator or government body unless expressly stated.
10.No reviews, ratings, or clinical rankings
ProfileMD does not operate as a patient-review or physician-ranking platform.
ProfileMD does not solicit or publish:
patient reviews;
star ratings;
physician popularity scores;
anonymous patient allegations;
comparative clinical-quality rankings;
testimonials presented as proof of a medical outcome; or
paid placement represented as professional superiority.
The order in which profiles, categories, specialties, cities, or search results appear must not be interpreted as a clinical ranking or recommendation.
Any paid, promoted, featured, or sponsored placement, where offered, will be identified appropriately and must not be interpreted as a clinical endorsement or quality assessment.
11.External links and clinic-controlled systems
ProfileMD may display a link or button selected or approved by a physician or clinic.
The link may direct the user to an external:
booking service;
OceanMD service or Ocean eForm;
secure form;
patient portal;
messaging system;
clinic website;
electronic medical record-connected service; or
other third-party system.
Selecting the link means that the user is leaving ProfileMD.ca.
Unless a separate written notice expressly states otherwise:
ProfileMD does not own or control the external system;
the clinic or third-party provider determines what information is collected;
ProfileMD does not receive, review, monitor, or store the information submitted;
the external provider’s terms and privacy practices apply;
ProfileMD does not guarantee the external system’s availability or security;
ProfileMD does not guarantee that information will be successfully transmitted;
ProfileMD does not guarantee that the intended clinic will receive or review the information;
ProfileMD does not guarantee a response within any particular period; and
submission does not guarantee an appointment, prescription, referral, treatment, or other clinical service.
ProfileMD may record that an external link was selected for security or aggregate-analytics purposes without receiving the clinical content submitted after the user leaves ProfileMD.
12.Secure-workflow responsibilities
Where ProfileMD assists a physician or clinic with link placement, workflow planning, wording, template structure, testing, configuration, or implementation support, the physician or clinic remains responsible for:
selecting and approving the destination system;
maintaining required third-party subscriptions and licences;
determining whether the system is appropriate for the intended clinical or administrative purpose;
approving patient-facing instructions;
approving safety and emergency wording;
confirming routing and recipient information;
assigning staff ownership;
establishing review and escalation procedures;
training clinic personnel;
monitoring incoming submissions;
responding within clinically appropriate timeframes;
maintaining privacy and security safeguards;
complying with professional and legal obligations;
maintaining the patient record where required; and
re-testing the workflow after material changes.
Unless a separate written agreement expressly states otherwise, ProfileMD does not assume responsibility for:
clinical decisions;
patient triage;
clinic staffing;
monitoring of submissions;
medical-record management;
EMR behaviour;
third-party system availability;
clinic response times; or
the acts or omissions of a physician, clinic, employee, contractor, or third-party provider.
13.Professional User responsibilities
Professional Users must:
provide accurate and supportable information;
have authority to submit or approve profile content;
review profile information before approval;
promptly notify ProfileMD of material changes;
comply with applicable laws and professional requirements;
ensure professional advertising is accurate, factual, balanced, and not misleading;
obtain necessary rights and permissions for submitted content;
avoid submitting patient information through public ProfileMD channels;
protect account credentials;
use reasonable cybersecurity practices;
ensure clinic-controlled links are accurate and operational;
maintain required third-party subscriptions;
appropriately monitor clinic-owned workflows; and
refrain from presenting ProfileMD verification as a clinical endorsement.
A physician remains responsible for professional advertising and public information published on the physician’s behalf to the extent required by applicable professional standards.
14.Accounts and account security
Users are responsible for maintaining the confidentiality of their account credentials and for activity performed through their accounts.
Users must promptly report suspected:
unauthorized access;
credential compromise;
impersonation;
inaccurate authority;
security vulnerabilities;
unauthorized profile changes; or
misuse of an account.
ProfileMD may require:
password changes;
identity verification;
authority verification;
multi-factor authentication;
temporary access restrictions; or
other reasonable security measures.
ProfileMD is not responsible for loss caused by a user’s failure to protect credentials or promptly report unauthorized activity, except to the extent that responsibility cannot lawfully be excluded.
15.Paid services and subscriptions
The specific features, price, billing frequency, service period, applicable taxes, renewal terms, cancellation process, and refund conditions for a paid service will be described in the applicable:
pricing page;
checkout process;
order form;
subscription agreement;
statement of work; or
professional services agreement.
Professional Users authorize ProfileMD and its payment provider to process charges in accordance with the applicable order.
Unless otherwise stated in a specific written agreement:
prices are quoted in Canadian dollars;
applicable taxes are additional;
the Professional User must maintain accurate billing information;
payment obligations incurred before cancellation remain payable;
access may be restricted or suspended for overdue amounts; and
fees paid for completed work are not refundable.
A subscription will not automatically renew unless automatic renewal has been clearly disclosed and affirmatively accepted before purchase.
Where an automatic renewal applies, the applicable order or subscription terms will describe:
the renewal period;
the amount or method for determining the renewal price;
how to cancel;
the deadline for cancellation; and
any required renewal notice.
16.Third-party services
ProfileMD may use or link to third-party:
hosting services;
payment processors;
analytics services;
mapping services;
communication platforms;
security services;
booking systems;
patient portals;
EMRs;
secure-form providers; and
health-technology products.
ProfileMD does not own or control independent third-party services.
Use of a third-party service may be subject to separate:
terms;
privacy policies;
fees;
licences;
technical requirements; and
service limitations.
Reference to a third-party company or product does not imply sponsorship, affiliation, endorsement, or responsibility unless expressly stated.
17.Limited licence to use ProfileMD
Subject to these Terms, ProfileMD grants users a limited, revocable, non-exclusive, non-transferable licence to access and use the public portions of the Services for lawful personal or internal professional purposes.
No ownership rights are transferred.
Except where permitted by law or authorized in writing, users may not:
reproduce;
republish;
sell;
sublicense;
frame;
mirror;
systematically download;
commercially exploit; or
create a derivative platform from
ProfileMD content, databases, design, or functionality.
18.ProfileMD intellectual property
The Services and original ProfileMD materials are owned by or licensed to ProfileMD or its operator, including:
names and logos;
trademarks and branding;
website design;
visual presentation;
profile structure;
original written content;
templates;
software and source code;
forms and workflow structures;
graphics and icons;
databases and compilations;
onboarding materials;
educational materials; and
support documentation.
Third-party names, trademarks, professional credentials, photographs, and other third-party content remain the property of their respective owners.
No licence to use a ProfileMD trademark or brand is granted except by express written permission.
19.Professional content licence
A physician, clinic, or authorized representative who submits or approves content grants ProfileMD and its operator a non-exclusive, worldwide, royalty-free licence to:
host;
reproduce;
format;
resize;
adapt for layout or accessibility;
display;
distribute; and
maintain backup copies of
that content as reasonably necessary to provide the agreed Services.
The submitting party represents and warrants that:
it owns the content or has permission to use it;
it has authority to submit or approve the content;
publication does not infringe another person’s rights;
the content is not false, misleading, defamatory, discriminatory, or unlawful;
required third-party consents have been obtained; and
the content complies with applicable professional requirements.
ProfileMD may reject, remove, restrict, or request modification of content that creates a legal, privacy, professional, security, technical, or reputational concern.
20.Acceptable use
Users must not:
submit patient medical information through a public ProfileMD channel;
impersonate a physician, clinic, staff member, patient, or ProfileMD representative;
falsely claim authority to manage a profile;
submit fraudulent, defamatory, misleading, or unlawful information;
access or attempt to access a non-public account or system without authorization;
bypass authentication or technical restrictions;
probe, scan, or test a system for vulnerabilities without written authorization;
introduce malware or malicious code;
disrupt website operation;
interfere with another user’s access;
scrape, crawl, harvest, or systematically collect profile or contact information without written authorization;
use ProfileMD data for spam or unsolicited marketing;
harass, threaten, discriminate against, or defame another person;
reverse engineer non-public software;
misrepresent an affiliation with ProfileMD;
copy the Services to create a confusingly similar service;
use ProfileMD content or databases to train, evaluate, or improve an artificial-intelligence or machine-learning model without written authorization;
use the Services to facilitate unlawful activity; or
use the Services in violation of law, professional obligations, or these Terms.
21.Profile corrections and removal requests
Profile correction and removal requests may be sent to:
support@profilemd.health
ProfileMD may request:
identity verification;
authority verification;
the relevant profile or page;
the specific correction requested;
supporting documentation; and
an explanation of the requester’s relationship to the physician or clinic.
ProfileMD may temporarily restrict disputed information while reviewing a credible request.
Legitimate factual corrections will not be conditional on purchasing or maintaining a paid plan.
ProfileMD may decline a request that is:
fraudulent;
abusive;
unsupported;
submitted without authority;
unrelated to the requester;
contrary to law; or
directed at information that ProfileMD is entitled or required to retain.
Where appropriate, ProfileMD will provide a general explanation of its decision.
22.Availability and service changes
ProfileMD aims to provide reliable Services but does not guarantee continuous, uninterrupted, secure, or error-free operation.
The Services may be unavailable because of:
planned maintenance;
emergency maintenance;
system upgrades;
third-party failures;
Internet or telecommunications disruptions;
cybersecurity incidents;
events beyond ProfileMD’s reasonable control;
legal or regulatory requirements; or
operational changes.
ProfileMD may add, modify, suspend, withdraw, or discontinue a feature.
Where a paid service is materially affected, the applicable order form, subscription agreement, or professional services agreement will determine any available remedy.
23.Suspension and termination
ProfileMD may suspend, restrict, or terminate access to a profile, account, or service where reasonably necessary because of:
non-payment;
inaccurate authority;
impersonation;
violation of these Terms;
security or privacy risk;
unlawful conduct;
false or misleading professional information;
misuse of a clinic-controlled workflow;
harassment or abuse;
risk to patients or the public;
third-party rights;
professional-regulatory concerns; or
a legal or regulatory requirement.
Where reasonable, ProfileMD will provide notice and an opportunity to correct the issue.
ProfileMD may act immediately where delay could create a material privacy, security, legal, professional, or patient-safety risk.
A user may stop using the public Services at any time. Cancellation of a paid service remains subject to the applicable subscription or professional agreement.
24.Disclaimer of warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
ProfileMD does not represent or warrant that:
profile information will always be complete, accurate, or current;
every physician or clinic will be listed;
a particular physician will accept a person as a patient;
an appointment will be available;
a clinic will respond within a particular period;
a listed service remains available;
an external link or system will remain operational or secure;
the Services will be uninterrupted or error-free;
general health information will apply to an individual circumstance;
an external submission will be received or reviewed; or
use of the Services will produce a particular clinical, professional, financial, or business result.
Nothing in these Terms excludes a statutory warranty or legal right that cannot lawfully be excluded.
25.Limitation of liability
To the maximum extent permitted by applicable law, ProfileMD, Eduardo Jacques Medicine Professional Corporation, and their directors, officers, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of:
profits;
revenue;
business opportunity;
data;
reputation;
goodwill; or
anticipated savings.
ProfileMD will not be liable for loss arising from:
reliance on incomplete or outdated profile information;
the acts or omissions of an independent physician or clinic;
a physician’s clinical decision;
failure to obtain an appointment or response;
information submitted to a third-party system;
operation or failure of a clinic-controlled or third-party service;
unauthorized account access resulting from compromised user credentials;
submission of personal health information through a prohibited public channel;
failure by a clinic to monitor or respond to a workflow;
an interruption outside ProfileMD’s reasonable control; or
a user’s violation of these Terms.
For a claim arising solely from use of the public Services, ProfileMD’s aggregate liability will not exceed the greater of:
CAD $100; and
the amount paid directly to ProfileMD by the claimant for the specific Service during the twelve months preceding the event giving rise to the claim.
For a claim governed by a separate professional or subscription agreement, the limitation in that agreement will apply.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
26.Indemnity
To the maximum extent permitted by law, a Professional User or organization agrees to indemnify and hold harmless ProfileMD, Eduardo Jacques Medicine Professional Corporation, and their directors, officers, employees, and contractors from third-party claims, losses, liabilities, regulatory consequences, damages, and reasonable legal costs arising from:
content submitted or approved by the Professional User;
inaccurate, misleading, infringing, or unauthorized profile information;
lack of authority to act for a physician or clinic;
violation of these Terms;
violation of law or professional requirements;
clinical services or decisions of a physician or clinic;
failure to monitor a clinic-controlled workflow;
unauthorized submission or disclosure of patient information;
operation of a clinic-controlled system;
infringement of another person’s rights; or
misuse of the Services.
This section does not apply to the extent that a claim results from ProfileMD’s own conduct for which liability cannot legally be excluded.
27.Privacy
Use of the Services is also governed by the ProfileMD Privacy Policy.
Users must not submit personal health information through public ProfileMD channels.
Information submitted directly to a physician, clinic, or external clinical system is governed by the privacy practices and legal obligations of the applicable organization.
28.Electronic communications
Users consent to receive electronic communications reasonably necessary to administer:
accounts;
subscriptions;
payments;
security;
privacy;
profile approvals;
support requests;
corrections;
legal notices; and
contractual relationships.
Commercial electronic communications will be sent in accordance with applicable law.
Recipients may unsubscribe from promotional communications without preventing ProfileMD from sending essential account, billing, security, privacy, legal, or service communications.
29.Independent physicians and clinics
Physicians and clinics appearing on ProfileMD are independent professionals or organizations unless expressly stated otherwise.
Inclusion on ProfileMD does not make a physician or clinic:
an employee of ProfileMD;
an agent of ProfileMD;
a partner of ProfileMD;
a joint venturer with ProfileMD; or
authorized to bind ProfileMD.
ProfileMD does not control an independent physician’s:
clinical judgment;
treatment decisions;
acceptance of patients;
scheduling;
fees;
record-keeping;
response times; or
professional conduct.
30.Relationship of the parties
ProfileMD acts as an independent service provider in relation to participating physicians and clinics.
Nothing in these Terms creates:
an employment relationship;
partnership;
joint venture;
franchise;
fiduciary relationship;
agency relationship;
medical group; or
authority for one party to bind another.
31.Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Subject to any mandatory legal right that applies, disputes arising from these Terms or the Services will be submitted to the courts located in Toronto, Ontario, and the parties attorn to the jurisdiction of those courts.
32.General provisions
If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
Failure to enforce a provision does not constitute a waiver.
ProfileMD may assign these Terms in connection with:
a merger;
corporate reorganization;
financing;
sale of a business;
transfer of a service; or
transfer of substantially all relevant assets.
A Professional User may not assign their account, rights, or obligations without ProfileMD’s written consent.
These Terms, the Privacy Policy, and any applicable order form, subscription agreement, or professional services agreement constitute the agreement governing the relevant Services.
Headings are for convenience and do not affect interpretation.
33.Language
The English version of these Terms is the official version.
Any translation is provided for convenience. To the extent permitted by applicable law, the English version will govern in the event of an inconsistency.
34.Changes to these Terms
ProfileMD may update these Terms to reflect changes in:
the Services;
law;
technology;
security requirements;
service providers; or
business operations.
The revised Terms will be posted with an updated “Last Updated” date.
Material changes affecting paid Professional Users may also be communicated through an account or by email.
Where affirmative acceptance is appropriate, ProfileMD may require a user to accept updated Terms before continuing to use a professional account or paid service.
